Group Compliance

 The statement “Our Commitment” outlines the principles of conduct to which the Kuraray Group should adhere to in our business activities that have diverse points of contact with society. The “Kuraray Group Code of Conduct” serves as a guideline to implement the commitment into practice in day-to-day operations. The President has declared that we will comply with laws and regulations and “Our Commitment” under all circumstances. To share these principles and commitments among all Kuraray Group employees throughout the world, the Compliance Handbook has been compiled containing the foregoing declaration by the President and explanations of the “Kuraray Group Code of Conduct” and distributed to all employees in Japan and overseas. In 2021, we renewed the handbook with a user-friendly design to make it accessible for all employees. We localized the handbook into twelve languages and distributed it to Group companies in Japan and overseas.

 In addition, we have appointed compliance officers at plants and overseas offices of Kuraray and Group companies and have organized regional compliance committees. Since fiscal 2019, we have linked the timing of the activities of the regional compliance committee and Risk Management and Compliance Committee to raise awareness of compliance throughout the Group.

Whistleblowing System

 The Kuraray Group has set up the Kuraray Group Employee Counseling Room for Group employees in Japan (including contract employees, temporary employees, and part-time employees) as an internal reporting system for either preventing or detecting and resolving at an early stage any compliance violations.

 The whistleblowing system accepts compliance-related reports, such as business transactions in general (e.g., bribery/corruption), violation of company rules, and personnel affairs including respect for human rights and harassment. In 2025, the Kuraray Group’s Employee Counseling Room received 29 reports in Japan.
 In addition, we have established the Kuraray Group Global Compliance Hotline, which is available to all Group employees worldwide, in response to the rapid progress of globalization. Furthermore, we have established a Governance Hotline as an internal reporting channel independent from management, received by an external law firm that is separate from the Company’s legal counsel.
 Our internal regulations allow for anonymous consultations and reports, and whistleblower protection measures are clearly defined and actively implemented to prevent any retaliation.
 Furthermore, following the amendment to the Whistleblower Protection Act in June 2022, we individually designate personnel at our Japan-based contact points who receive information that may identify reporters as Personnel Engaged in Whistleblower Response Operations.

Efforts to Strengthen Compliance

Antitrust Compliance Initiatives

 In order to establish an effective antitrust Group-wide compliance program, the Kuraray Group continues to monitor the status of compliance in high-risk businesses and areas and takes measures such as providing education and training to officers and employees and conducting an annual audit of public bid projects. The Kuraray Group as a whole will continue to ensure the effective operation of its antitrust compliance program and conduct ongoing monitoring of compliance status.

Anti-Bribery Initiatives

 Within the Kuraray Group, guidelines on the prevention of bribery and the handling of political contributions and donations are clearly communicated both internally and externally through the “Kuraray Group Code of Conduct,” and the Group’s fundamental policy on anti-bribery is set forth in the “Kuraray Group Global Anti‑Bribery Policy.” In accordance with these fundamental policies, we are enhancing and strengthening our Group‑wide anti‑bribery framework through measures such as the management of entertainment and gifts; the assessment and management of bribery risks conducted through third parties, including agents and other intermediaries (covering risk assessments based on factors such as the countries and regions in which third parties are engaged, whether interactions with public officials are involved, due diligence conducted on such third parties, approval procedures based on these assessments, and the acquisition of representations and warranties regarding legal compliance through contracts and written commitments); and the provision of education and training for directors and employees.
 In 2025, we implemented global anti‑bribery training for employees through e‑learning programs.
